Our offerings include IT infrastructure planning, software architecture consulting, systems integration, cybersecurity assessments, cloud migration services, data management solutions, and technology strategy advisory.
The scope, timeline, and fees for specific projects are defined in separate service agreements. These Terms of Service govern general interactions with our website while project-specific terms are detailed in individual contracts. In case of conflict between these terms and a signed service agreement, the service agreement prevails.

During the course of our business relationship, both parties may have access to or be exposed to confidential information of the other party. Confidential information includes but is not limited to non-public technical data, system architectures, business plans and strategies, financial information and projections, client lists and contact information, trade secrets, proprietary software and algorithms, product roadmaps, marketing plans, personnel information, and any other information that is either marked as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.
Each party agrees to hold the other party confidential information in strict confidence, to use it solely for the purposes of performing obligations under any applicable service agreement, to disclose it only to those employees, contractors, and advisors who have a legitimate need to know and who are bound by confidentiality obligations at least as restrictive as those contained in this section, and to protect it using at least the same degree of care used to protect its own confidential information but in no event less than reasonable care.
Neither party shall disclose confidential information to any third party without the prior written consent of the disclosing party, except as required by applicable law, court order, or governmental regulation. In the event that disclosure is required by law, the receiving party shall provide the disclosing party with prompt notice of such requirement so that the disclosing party may seek a protective order or other appropriate relief. Confidentiality obligations shall survive termination of any service agreement and shall continue for a period of three years from the date of disclosure. These obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, that was already in the receiving party possession prior to disclosure as demonstrated by written records, that is independently developed by the receiving party without use of or reference to the disclosing party confidential information, or that is rightfully obtained from a third party without restriction.
OUR WEBSITE AND SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY WARRANTIES OF ANY KIND. UTC AGENTS LLC DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NO ADVICE OBTAINED FROM UTC AGENTS LLC SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS. IN SUCH CASES, WARRANTIES ARE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
UTC AGENTS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF ONE HUNDRED DOLLARS OR THE AMOUNT PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF CONSEQUENTIAL DAMAGES, SO THIS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless UTC AGENTS LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys fees, arising out of or relating to your use of our website or services, your violation of these Terms of Service, your violation of any applicable law or regulation, or your infringement of any intellectual property or other right of any third party.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to fully cooperate with us in asserting any available defenses. You agree not to settle any matter subject to indemnification without our prior written consent. This indemnification obligation shall survive the termination of these Terms of Service and any applicable service agreements.
These terms remain effective until terminated. UTC AGENTS LLC may terminate or suspend your access for breach of terms, violation of law, or conduct harmful to our business. Upon termination, all rights granted to you immediately cease.
Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limitations, indemnification, and dispute resolution provisions.
These terms are governed by the laws of the State of Utah and applicable federal laws of the United States, without regard to conflict of law principles. Any dispute shall first be resolved through good faith negotiations, then binding arbitration in Salt Lake City, Utah under American Arbitration Association rules.
UTC AGENTS LLC may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. Any claim must be commenced within one year after the cause of action accrues.
Any dispute arising from these terms shall first be addressed through good faith negotiations. If unresolved within thirty days, the parties agree to submit to binding arbitration administered by the American Arbitration Association under its Commercial Rules.
The arbitrator decision shall be final and binding, with judgment entered in any court having jurisdiction. The prevailing party shall be entitled to recover reasonable attorneys fees and costs.
These terms constitute the entire agreement between you and UTC AGENTS LLC regarding your use of our website and services. If any provision is found unenforceable, the remaining provisions continue in full effect.
Failure to enforce any provision does not constitute a waiver. You may not assign your rights without our consent. Nothing creates a partnership or agency relationship between us.
UTC AGENTS LLC is not liable for delays due to circumstances beyond our reasonable control. Notices shall be sent to the addresses provided by each party or to reach@utcagents.hair.
